In addition to isolated deals, our attorneys have substantial experience representing buyers in industry consolidations, including health care, solid waste, equipment rentals, portable restrooms, transportation and sports competition.
- Represented clients in hundreds of transactions representing buyers engaged in rolling up different industries throughout the United States, including waste management, equipment rentals and service-based industries. Deal sizes ranged from $100,000 to $150 Million.
- Represented numerous sellers in connection with stock and asset sales to both strategic buyers and private equity groups, including:
- representation of an equipment rental company in connection with a merger with a private equity fund affiliate for a purchase price of over $580 Million;
- representation of equipment rental companies in connection with the sale of their assets to a strategic buyer for a purchase price of over $48 Million;
- representation of the selling shareholders of specialty manufacturing and services companies in connection with the sale of their shares to strategic buyers, with transactions sizes from $27 Million to $190 Million; and
- representation of specialty manufacturing companies in connection with the sale of their assets to private equity funded entities for a purchase price of $30 Million to $52 Million.
- Represented owners selling to newly formed and existing Employee Stock Ownership Plans or to family members or management teams for businesses seeking an appropriate succession plan without transitioning to outside ownership.
- Represented multiple successful, family-owned businesses in the sale of first, second, third and fourth generation businesses to outside buyers. Industry sectors include health care, logistics, manufacturing, real estate management, retail, technology, service, software, utilities and waste management.
- Represented leading non-profit institutions in connection with mergers and other change-of-control transactions based on the most significant strategic decisions and outcomes for the communities served by these organizations.
- Represented buyers and sellers in connection with sales and reorganization of physician, dental, and other health care practices, including sales to strategic buyers and acquisitions by outside investment groups.
